1. Acceptance of Terms

WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

EU Consumer Exception: For EU consumers, we provide all warranties and guarantees required by applicable EU consumer protection legislation, including warranties of conformity.

5. Limitation of Liability

5.1 General Limitation

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (EXCEPT WHERE PROHIBITED BY LAW)
LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES (EXCEPT WHERE PROHIBITED BY LAW)
DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE (EXCEPT WHERE PROHIBITED BY LAW)
DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT
DAMAGES ARISING FROM ANY THIRD-PARTY CONDUCT OR CONTENT

5.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

5.3 EU Consumer Protections

For EU Consumers: Nothing in these Terms excludes or limits our liability for:

Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be excluded or limited under applicable EU law
Breach of statutory warranties or guarantees under EU consumer protection law

5.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

6. EU Consumer Rights

6.1 Right of Withdrawal (Cooling-off Period)

For EU Consumers purchasing paid services: You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days from the day of purchase.

To exercise your right of withdrawal, you must inform us of your decision by an unequivocal statement (e.g., by email to legal@taskpipe.ai).

If you withdraw from this contract, we shall reimburse all payments received from you without undue delay and in any event not later than 14 days from the day we are informed about your decision to withdraw.

6.2 Exception to Withdrawal Right

You acknowledge that if you request that the provision of digital services begins during the withdrawal period, you will lose your right of withdrawal once the service has been fully performed.

6.3 Digital Content Rights

For EU consumers purchasing digital content, you have the right to:

Conforming digital content
Remedies in case of lack of conformity (repair, replacement, price reduction, or termination)
Updates necessary to maintain conformity

7. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless us, our affiliates, and their respective directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any User Content you submit to the Service
Any activity related to your account by you or any other person accessing your account

EU Consumer Exception: This indemnification clause does not apply to EU consumers acting in their personal capacity where prohibited by applicable consumer protection law.

You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party content, goods, or services, except where prohibited by applicable consumer protection law.

10.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service, except as permitted by applicable law (including EU software directive provisions).

11. Account Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature if available.

11.2 Termination by Us

We may terminate or suspend your account and access to the Service if you breach these Terms, engage in fraudulent or unlawful activity, or if we are required to do so by law. We will provide reasonable notice before termination where practicable and required by applicable law.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers (where permitted), indemnity (where applicable), and limitations of liability (where permitted).

12. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to earthquake, fire, flood, epidemic, pandemic, government restrictions, war, terrorism, or other causes beyond our reasonable control.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.

13.2 EU Consumer Dispute Resolution

For EU Consumers:

You may bring proceedings in the courts of your habitual residence
We cannot exclude the jurisdiction of your local courts
You have access to the European Online Dispute Resolution Platform: https://ec.europa.eu/consumers/odr/
You may also contact our customer service to resolve disputes amicably

13.3 Dispute Resolution (Non-EU)

For non-EU users, any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.

13.4 Class Action Waiver (Non-EU)

Non-EU users agree that any legal proceeding shall be limited to the dispute between you and us individually. This clause does not apply to EU consumers.

13.5 Small Claims Exception

Either party may bring an individual action in small claims court for disputes within the court's jurisdiction.

14. Modifications to Terms

We reserve the right to modify these Terms. We will provide at least 30 days' advance notice of material changes by posting the new Terms on this page, updating the "Last Updated" date, and where required by law, by direct communication.

For EU Consumers: Material changes that affect your rights require your affirmative consent. If you do not agree to the changes, you may terminate your account before the changes take effect.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

17. No Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, provided that such assignment does not reduce your rights under these Terms or applicable law.

19. Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers (where permitted), indemnity (where applicable), and limitations of liability (where permitted).
